Terms of Service

1. Acceptance of Terms

1.1 These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VynFi.com LLC (i.G.) ("VynFi," "we," "us," or "our"), a company incorporated and registered in Switzerland, with its registered office at Uster, 8610, Switzerland, operating the AssureTwin platform ("Service").

1.2 By accessing or using the Service, creating an account, or using the Sandbox feature, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, our Cookie & Storage Policy, our Data Processing Agreement, and our Subprocessor List (collectively, the "Agreement").

1.3 If you are accessing the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such case, "you" and "your" refer to that entity.

1.4 If you do not agree to these Terms, you must not access or use the Service.

2. Service Description

2.1 AssureTwin is a software-as-a-service (SaaS) platform that provides digital twins of audit engagements. The Service enables users to simulate, plan, execute, and analyze audit engagements using entirely synthetic financial data.

2.2 Core capabilities of the Service include:

  • Audit engagement simulation across multiple methodology blueprints (including Generic FSA, KPMG Clara, PwC Aura, Deloitte Omnia, EY GAM, and IIA-GIAS)
  • Synthetic financial data generation powered by the DataSynth engine
  • Formal verification of audit workflows using Finite State Machines (FSM) and Linear Temporal Logic (LTL)
  • AI-assisted workpaper generation, anomaly explanation, and natural language queries
  • Graph-based audit analytics and visualization
  • Training, calibration, and quality management tools for audit teams

2.3 The Service is designed for professional use by audit firms, internal audit departments, academic institutions, and related professionals. It is not intended for consumer use.

2.4 We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice, except where such changes materially reduce the functionality available under a paid tier, in which case Section 14 applies.

3. Account Types and Tiers

3.1 The Service is offered in the following tiers:

Starter Free

Requires account registration via Microsoft Entra ID. Access to the Generic FSA and IIA-GIAS blueprints. Limited to 5 stored engagements. Simulation data retained for 30 days. Basic analytics and formal verification included. Includes Sandbox access (no account required, 24h TTL, rate-limited to 3 simulations per hour).

Student CHF 9/month

Designed for academic use. Access to 4 methodology blueprints (Generic FSA, IIA-GIAS, KPMG Clara, PwC Aura). Up to 20 stored engagements. 90-day data retention. Basic analytics and formal verification.

Professional CHF 89/month

Access to all 7 methodology blueprints. Unlimited stored engagements. No data retention limits. Full analytics, AI-assisted features, graph visualization, and collaboration tools. Priority support.

Firm CHF 249/month

All Professional features plus: Tauri desktop application for on-premise deployment, custom blueprints, dedicated support, custom integrations, SSO configuration, SLA guarantees, and volume licensing. Contact hello@assuretwin.com for enterprise agreements.

3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Authentication is managed through Microsoft Entra ID; we do not store passwords.

3.3 You must provide accurate and complete information during registration and keep your account information current. You must not create multiple accounts to circumvent tier limitations.

3.4 We reserve the right to suspend or terminate accounts that violate these Terms or the Acceptable Use Policy.

4. Pricing and Payment

4.1 Paid tiers are priced in Swiss Francs (CHF): Student at CHF 9 per user per month, Professional at CHF 89 per user per month, and Firm at CHF 249 per user per month, each billed monthly. Custom enterprise agreements with volume licensing are available upon request.

4.2 Payment processing is handled by Stripe, Inc. By subscribing to a paid tier, you agree to Stripe's terms of service. We do not store your full payment card details.

4.3 All fees are exclusive of applicable taxes (including VAT/MWST). You are responsible for any taxes applicable in your jurisdiction.

4.4 We may change pricing with at least 30 days' advance notice. Existing subscriptions will honor the current pricing until the end of the then-current billing period.

4.5 Refunds are handled on a case-by-case basis. If you believe you are entitled to a refund, contact hello@assuretwin.com within 14 days of the charge.

5. Intellectual Property

5.1 Our Property. The Service, including the AssureTwin platform, the DataSynth engine, methodology blueprints, formal verification algorithms, RustGraph integration, user interface designs, documentation, and all associated intellectual property rights, are and remain the exclusive property of VynFi.com LLC (i.G.) and its licensors.

5.2 Your Property. You retain all rights to your configurations, custom parameters, engagement settings, and any input data you provide to the Service. We do not claim ownership of your content.

5.3 Synthetic Output and Data Ownership. Synthetic data generated by the Service is produced algorithmically by the DataSynth engine based on your configurations. You own the engagement simulation outputs generated through your use of the Service. You may use generated synthetic data for your internal business purposes, including audit planning, training, and tool calibration, subject to the restrictions in Section 6 and Section 8. Simulation outputs are synthetic and must not be used for regulatory filings or presented as real audit evidence.

5.4 License Grant. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with your subscription tier and these Terms. This license does not include the right to sublicense, resell, or redistribute the Service or any component thereof.

5.5 Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, modify, and incorporate such feedback into the Service without obligation to you.

6. Prohibited Uses

6.1 You agree not to use the Service to:

  • Misrepresent synthetic data as real audit evidence, actual financial statements, or genuine regulatory filings
  • Use synthetic data as the sole basis for actual regulatory filings without prominent and unambiguous disclosure that the data is synthetic
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the DataSynth engine, RustGraph, or any proprietary component of the Service
  • Share, transfer, or expose API keys or authentication tokens to unauthorized third parties
  • Circumvent, disable, or interfere with rate limits, security features, or access restrictions
  • Conduct automated scraping, bulk data extraction, or systematic downloading of Service content beyond normal use
  • Upload, transmit, or process real client financial data through the cloud-hosted Service
  • Use the Service for any illegal purpose or in violation of applicable laws or regulations
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure

6.2 Violations of this section may result in immediate suspension or termination of your account in accordance with our Acceptable Use Policy.

7. Desktop Application

7.1 The AssureTwin Desktop Application ("Desktop App") is a Tauri-based application available exclusively to Enterprise tier subscribers. The Desktop App is governed by the terms of your Enterprise Agreement in addition to these Terms.

7.2 The Desktop App is designed to operate entirely on your local infrastructure. All client data, simulation configurations, and generated outputs remain on your device. No client data is transmitted to AssureTwin servers or any third party when using the Desktop App in local mode.

7.3 Optional cloud features within the Desktop App (such as collaboration and synchronization) require explicit opt-in and are subject to the cloud-hosted Service terms and our Privacy Policy.

7.4 You are responsible for maintaining the security of your local environment, including operating system updates, access controls, and data backups.

8. Synthetic Data Disclaimer

All data generated by AssureTwin is synthetic. It is produced algorithmically by the DataSynth engine and does not represent, reproduce, or derive from any real financial data, company records, or audit evidence. Synthetic data must never be presented as real audit evidence or used as the sole basis for regulatory filings.

8.1 Synthetic data generated by the Service is intended for simulation, training, tool calibration, planning, and educational purposes. While the DataSynth engine produces data with statistical and structural properties similar to real enterprise systems, no synthetic dataset is guaranteed to match any specific real-world scenario, company, or financial position.

8.2 You are solely responsible for any decisions made based on synthetic simulation results. AssureTwin is not a substitute for professional audit judgment, regulatory compliance assessment, or financial analysis based on actual data.

8.3 Any use of synthetic data in external presentations, publications, or regulatory contexts must include a clear and prominent disclaimer that the data is synthetic and was generated by simulation software.

9. Trademark and Third-Party References

9.1 Third-Party Trademarks. KPMG, PwC (PricewaterhouseCoopers), Deloitte, and EY (Ernst & Young) are registered trademarks of their respective owners. The use of these names within the AssureTwin platform is for identification purposes only. AssureTwin, VynFi.com LLC (i.G.), and the Service are not affiliated with, endorsed by, sponsored by, or in any way officially connected to KPMG International Cooperative, PricewaterhouseCoopers International Limited, Deloitte Touche Tohmatsu Limited, Ernst & Young Global Limited, or any of their member firms, subsidiaries, or affiliates.

9.2 No Endorsement. The inclusion of Big 4 firm names in AssureTwin's methodology blueprints does not constitute, and shall not be construed as, any endorsement, approval, partnership, or official relationship with these firms. The firms named have not reviewed, approved, or contributed to the blueprints.

9.3 ISA-Based Educational Simulations. AssureTwin's methodology blueprints are developed independently by VynFi.com LLC (i.G.) and are based on ISA (International Standards on Auditing) requirements. Any additional modelling incorporated into named blueprints (e.g., "KPMG Clara", "PwC Aura", "Deloitte Omnia", "EY GAM") is derived solely from publicly available information. These blueprints represent educational simulations of audit approaches intended for training, planning, tool development, and simulation purposes. They do not replicate, reproduce, or represent the proprietary audit methodologies, internal tools, or confidential processes of any named firm.

9.4 Public Information Basis. All information incorporated into named blueprints has been derived from publicly available sources, including published academic research, publicly available audit standards documentation, regulatory filings, and publicly disclosed firm communications. No confidential or proprietary information belonging to any third-party firm has been used.

9.5 Purpose Limitation. Blueprints referencing firm names are provided solely for the purposes of education, simulation, training, planning, and audit analytics tool development. They must not be used to represent, imply, or claim that any engagement was conducted using the actual proprietary methodology of the named firm.

9.6 Consult Firms Directly. For actual firm-specific audit procedures, tools, or methodologies, users should consult the respective firms directly. Nothing in the Service constitutes professional audit advice from or on behalf of any named firm.

10. Warranty Disclaimer

10.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VYNFI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

10.2 Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Synthetic data will be suitable for any particular purpose or match any specific real-world scenario
  • Formal verification results constitute legal or regulatory compliance certification
  • AI-generated content (workpapers, anomaly explanations, query responses) will be accurate, complete, or free from bias

11. Limitation of Liability

11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VYNFI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

11.2 VYNFI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO VYNFI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED SWISS FRANCS (CHF 100).

11.3 The limitations in this section apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if VynFi has been advised of the possibility of such damages.

11.4 Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such jurisdictions, VynFi's liability shall be limited to the maximum extent permitted by law.

12. Indemnification

12.1 You agree to indemnify, defend, and hold harmless VynFi and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your misrepresentation of synthetic data as real audit evidence.

13. Termination

13.1 By You. You may terminate your account at any time through the Service's account settings or by contacting hello@assuretwin.com. Upon termination, you will have a 30-day window to export your data (engagement configurations, simulation results, and analytics).

13.2 By Us. We may suspend or terminate your account immediately if you materially breach these Terms, violate the Acceptable Use Policy, or engage in conduct that threatens the security, integrity, or availability of the Service for other users.

13.3 Effect of Termination. Upon termination: (a) your license to use the Service ceases immediately; (b) we will delete your account data within 30 days following the end of the export window, unless retention is required by applicable law; (c) any outstanding fees become immediately due; (d) Sections 5, 8, 9, 10, 11, and 14 survive termination.

13.4 For paid subscriptions, termination takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods unless required by applicable law.

14. Governing Law and Jurisdiction

14.1 These Terms are governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

14.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland.

14.3 Notwithstanding the foregoing, VynFi may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

15. Changes to These Terms

15.1 We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice via the email address associated with your account or through a prominent notice within the Service.

15.2 Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account in accordance with Section 13.

15.3 Non-material changes (such as typographical corrections or clarifications that do not alter your rights or obligations) may be made without advance notice.

16. Severability

16.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

16.2 The failure of VynFi to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
